This document establishes the official commercial acquisition and partnership
framework for NoMoreQuiet Tech Holding. Unlike speculative early-stage pitch decks,
this ecosystem is built upon fully operational, production-tested, and local-first
software systems deployed within a secure private development environment.
Every application runs on a local infrastructure matrix to eliminate external cloud
dependencies, eradicate network latency, and guarantee absolute data privacy for
high-throughput financial transactions. Combined with Next.js 15, React 19, and
TypeScript satellite systems, this holding delivers turnkey infrastructure ready
for immediate global deployment under strict Founder autonomy.

ARTICLE 1 - DUAL-OPTION ACQUISITION & PARTNERSHIP FRAMEWORK

Partners must select exactly one option prior to contract execution. Hybrid
combinations or alternative financing structures outside these defined routes are
not accepted without written amendment signed by the Founder.
OPTION A - HIGH-TICKET INDIVIDUAL SOFTWARE LICENSING (Sovereign Infrastructure)
* AI Cockpit License (Radar + Sniper + Laboratorija) -> EUR 4,500 (One-time domain lock).
* Casino & Tracker B2B Bundle -> EUR 45,000 (One-time standalone enterprise license).
- Multi-Tenant Core: Orchestrates up to 1,000 independent satellite Casino instances, streaming live gameplay metrics, retention logs, and risk data into a single centralized analytics command dashboard with real-time FinTech conversion into EUR/USD.
* WealthTerminal Core -> EUR 4,000 (One-time standalone financial core).
* 100% core source code stays with Founder (private architecture).
OPTION B - INSTITUTIONAL IP HOLDING BUYOUT (Full Company Exit)
* Full IP & Source Code Buyout -> Price Range: EUR 1,500,000 - 2,500,000.
* Description: Complete ownership transfer of the source code for the Cockpit, WealthTerminal, Casino (5 arcade modules + 4 slot skins), and Tracker modules from the W drajv.
* PERMANENT VETO CLAUSE: The NOMOREQUIET brand and domain (nomorequiet.com) are STRICTLY EXCLUDED from the buyout and remain 100% in the founder's permanent possession.
* Post-acquisition support: 90 calendar days of asynchronous technical consulting via email only.

ARTICLE 2 - COMMUNICATION & OPERATIONAL SLA

All professional, technical, contractual, and support communication with the Founder
shall be conducted exclusively via asynchronous email at dejanswat@gmail.com.
Strict enterprise autonomy applies: zero live meetings, zero video conferences, zero
phone calls, and zero daily administrative or corporate management overhead assigned
to the Founder. The Founder operates solely as Chief Software Architect.
Any attempt to mandate synchronous engagement, board attendance, operational management,
or daily corporate administration constitutes grounds for immediate contract termination
at the Founder's sole discretion.

3. DETAILED TECHNICAL SUB-SYSTEM AUDIT (W:\ DRIVE TELEMETRY)

A. AI Cockpit (Central Operations Hub) - Port 3000 (aicommandcenter.pro)
- Tech Stack: Node.js, Express 5.1.0, Knex.js, PostgreSQL on local port 5432, IMAP, SMTP, native OpenAI & Google Gemini SDKs.
- Functional Architecture: The command center of the entire holding ecosystem. Renders a monolithic SPA management canvas. Executes automated extraction, parsing, and ledger injection of Raiffeisen banking PDF statements, Excel tracking, and KPO fiscal auditing with automatic ZIP bundle packaging for accounting handoffs. Features a 60-second background scheduler running pg_dump backups and NVMe disk threshold monitoring.
B. AI Commander (Autonomous Automation Layer) - Embedded Engine
- Tech Stack: Programmatically embedded within the AI Cockpit core inside the "automation-engine.js" subsystem running hybrid LLM workflows.
- Functional Architecture: Coordinates real-time automation agents. Runs the persistent asynchronous routine "runSalesAgentAnalysis" to process inbound requests from the "client_inquiries" table, automatically generating software license agreements. Incorporates the "Email Hunter" pipeline which utilizes Gemini semantic classification to read raw inboxes, detect incoming financial tokens, and dispatch instant alerts to Telegram channels.
C. NoMoreQuiet Casino & Tracker Suite - Turnkey FinTech Engine (Ports 3001 & 3002)
- Tech Stack: Node 18+, Express 4.21, SQLite (better-sqlite3 for ultra-low-latency casino cache), PostgreSQL (database "affiliate_tracker_nmq"), MaxMind GeoIP server-to-server tracking.
- Functional Architecture: Production iGaming B2B SaaS architecture locked across independent ports 3001 (Casino) and 3002 (Tracker). Fully synchronized via a centralized infrastructure object allowing instant multi-currency (RSD/EUR/USD) and localization re-skinning.
